Agreement to Terms

By engaging Cabinet Noir's services, you ("Client") agree to be bound by these Terms of Service ("Terms"). These Terms govern the provision of software development, engineering, and related technical services by Cabinet Noir. If you do not agree to all of these Terms, do not engage our services.

Scope of Services

Cabinet Noir specializes in providing software development and engineering services. The specific scope of work for each project will be outlined in a separate agreement or statement of work ("SOW") and/or Contract Agreement.

Our responsibilities are strictly limited to the engineering and technical aspects of the project as defined in the SOW and/or Contract Agreement.

Responsibility for Outcomes and Monetary Gains

Important Disclaimer Regarding Financial Outcomes:

Cabinet Noir's role is to provide expert software development and engineering services. We are responsible for delivering solutions that meet the technical specifications outlined in the SOW.

Cabinet Noir is not responsible for the financial success, profitability, or any monetary gains (or losses) resulting from the Client's use of the developed software or services.

Factors such as market conditions, business strategy, user adoption, and other external elements are beyond our control and influence the financial outcomes. The Client assumes all responsibility for the business and financial aspects related to the developed solutions.

Client Responsibilities

The Client agrees to provide timely feedback, necessary resources, and clear requirements to facilitate the successful completion of the project. The Client is responsible for all decisions related to business strategy, marketing, sales, and other non-engineering aspects.

Intellectual Property Ownership

Unless explicitly stated otherwise in a separate written agreement or Statement of Work ("SOW"), Cabinet Noir retains all intellectual property rights, including but not limited to copyright, patents, design rights, and trade secrets, in and to the software, code, designs, algorithms, and any other deliverables created as part of the services provided to the Client.

Upon full payment for the services rendered as outlined in the SOW, Cabinet Noir grants the Client a non-exclusive, non-transferable license to use the developed software solely for their internal business operations, subject to the terms and conditions specified in the SOW. This license does not grant the Client any ownership rights to the intellectual property.

Any rights not expressly granted to the Client in the SOW are reserved by Cabinet Noir. The Client acknowledges that any modification, distribution, or further development of the software beyond the scope explicitly permitted by the license may require a separate agreement and potentially additional fees.

Payment Terms

Payment terms will be outlined in the SOW. The Client agrees to adhere to the payment schedule specified therein.

Limitation of Liability

To the maximum extent permitted by law, Cabinet Noir's liability for any claims arising out of or in connection with the provision of services shall be limited to the fees paid by the Client to Cabinet Noir under the relevant SOW. In no event shall Cabinet Noir be liable for any indirect, consequential, or incidental damages, including but not limited to loss of profits or business opportunities.

Specifically, Cabinet Noir shall not be liable for any financial losses or lack of monetary gain experienced by the Client as a result of the delivered software or services.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws of Dubai, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai.

Changes to These Terms

Cabinet Noir reserves the right to modify or replace these Terms at any time. Clients will be notified of any material changes. Continued engagement of our services after such changes constitutes acceptance of the revised Terms.
